1. Acceptance of Terms

Welcome to LitPlanz! These Terms of Service ("Terms") govern your use of the LitPlanz mobile application and related services (the "Service") operated by LitPlanz ("we," "us," or "our").

By downloading, accessing, or using LitPlanz, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 16 years old to use LitPlanz. By using the Service, you represent and warrant that:

• You are at least 16 years of age
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under applicable laws

3. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

4. Description of Service

LitPlanz provides AI-powered nightlife discovery and planning services, including:

• Curated venue recommendations in cities worldwide
• Personalized itinerary planning ("Group Flows")
• Vibez-based venue matching
• City exploration features

5. Subscriptions and Payments

5.1 Subscription Plans

LitPlanz offers both free and premium subscription tiers. Premium features require an active subscription.

5.2 Billing

• Subscriptions are billed through Apple's App Store
• Payment is charged to your Apple ID account at confirmation of purchase
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period

5.3 Cancellation

You may cancel your subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the end of your paid period.

5.4 Refunds

Refund requests are handled by Apple in accordance with their refund policies. We do not have the ability to process refunds directly.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Submit false or misleading information
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems or bots to access the Service
• Reverse engineer, decompile, or disassemble the Service
• Use the Service for any commercial purpose without our consent
• Interfere with or disrupt the Service or servers

7. User Content

If you submit any content to the Service (such as reviews or feedback), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content in connection with the Service.

You represent that you own or have the necessary rights to submit such content and that it does not violate any third-party rights.

8. License Grant

Subject to your compliance with these Terms and an active subscription (where applicable), LitPlanz grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the application on Apple-branded devices that you own or control, solely for your personal, non-commercial purposes.

Restrictions

You may not:

• Copy, modify, or create derivative works of the application or its content
• Distribute, transfer, sublicense, lease, lend, or rent the application to any third party
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the application
• Make the application available over a network where it could be accessed or used by multiple devices simultaneously
• Use the application to build a competing product or service
• Remove, alter, or obscure any proprietary notices on the application
• Use any automated systems, bots, or scrapers to extract data or content from the application

9. Intellectual Property

The Service and its original content, features, and functionality are owned by LitPlanz and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

10. Consent to Use of Data

You agree that LitPlanz may collect and use technical data and related information — including but not limited to device identifiers, operating system version, app usage patterns, and performance data — to facilitate software updates, product support, and service improvements. This data is processed in accordance with our Privacy Policy.

11. Third-Party Content and Venues

The Service displays information about third-party venues and businesses. We do not own, operate, or control these venues. Information displayed may not always be current or accurate.

• We are not responsible for the quality, safety, or legality of any venues
• We do not endorse any particular venue
• We are not liable for any issues arising from your visit to recommended venues
• Always exercise your own judgment when visiting any venue

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF INFORMATION

We do not warrant that the Service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LITPLANZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill
• Personal injury or property damage
• Any damages arising from your use of or inability to use the Service
• Any conduct or content of third parties

In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless LitPlanz and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data
• Provisions that should survive termination will remain in effect

16. Export Compliance

You may not use or otherwise export or re-export the application except as authorized by United States law and the laws of the jurisdiction in which the application was obtained. In particular, the application may not be exported or re-exported:

• Into any U.S.-embargoed countries
• To anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List

By using the application, you represent and warrant that you are not located in any such country or on any such list.

17. Government End Users

The application and related documentation are "Commercial Items" as defined in 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." If acquired by or on behalf of a U.S. Government agency, the Government's rights are limited to those set forth in these Terms, in accordance with 48 C.F.R. §12.212 (Computer Software) and 48 C.F.R. §12.211 (Technical Data).

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

19. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

20. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page, updating the "Last Updated" date, and where possible, sending you a notification through the app. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LitPlanz regarding the Service and supersede all prior agreements and understandings.
